Minimum qualifications:
- JD, LL.B., equivalent degree, or equivalent practical experience.
- Admitted to the bar and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the position is located.
- 3 years of attorney-level experience in one of the following areas: private investment funds (e.g., LPAs, side letters, subscription agreements) or derivatives or trading counterparty agreements (e.g., ISDAs, CSAs).
Preferred qualifications:
- 5 years of relevant attorney practice experience.
- Experience supporting corporate finance transactions (e.g., parent guarantees, bond issuances, credit facilities, commercial paper programs).
- Familiarity with the Investment Company Act of 1940.
- Track record of successfully working with and leading cross-functional and global teams on complex legal matters across multiple jurisdictions.

Google’s in-house team is looking for an Associate Corporate Counsel for its liquidity and financial markets division. This ecosystem encompasses four functional domains such as: Trading and Investments, Enterprise Risk and Strategy, Capital Structure and Global Operations.In this role, you will take lead advisory ownership within a dedicated focus area—while actively contributing flexible secondary coverage for debt and equity deals. You will work alongside division directors, fiscal stakeholders, and external law firms on prominent multi-jurisdictional matters.
Individual pay is determined by factors including job-related skills, experience, and relevant education or training.
US: $217000 - $314000 (USD) + 20% bonus target + equity + benefits

Responsibilities
- Serve as the primary legal partner driving strategy and supporting transactions across at least one Treasury pillar Structure and discuss fund commitments, side letters, subscription docs, LPAs, and co-investments.
- Draft and discuss ISDA Master Agreements, CSAs, prime brokerage, clearing, reinsurance, and insurance arrangements. Discuss global cash management, custody, collateral, and commercial banking agreements, including daily operational support for banking KYC/AML inquiries.
- Provide execution support on debt capital markets and corporate financings, including bond offerings, parent guarantees, letters of credit, credit facilities, commercial paper, term loans, and covenant compliance.
- Advise on cross-border regulatory impacts related to securities laws, lending, derivatives regulations (e.g., Dodd-Frank, EMIR), and the Investment Company Act of 1940.
- Partner with Treasury, Tax, and Accounting on high-stakes initiatives, risk assessments, and new financial transactions.
