Associate Commercial and Product Counsel, Google.org

Minimum qualifications:

  • JD, LL.B., equivalent degree, or equivalent practical experience.
  • Admitted to the bar and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the position is located.
  • 3 years of attorney-level experience in government, in-house, or at a law firm.
  • Experience with commercial and product counseling.

Preferred qualifications:

  • Experience counseling on global product launches for social impact purposes or for (or within) the social impact ecosystem from early concept through design, beta testing, and global launch.
  • Experience drafting and negotiating complex, high-risk commercial and social impact agreements with nonprofits, foundations, universities, research institutions, intergovernmental organizations, government organizations, or social enterprises.
  • Familiarity with social impact global regulatory environment including IRS regulations, commercial fundraising, commercial co-ventures, etc.
  • Demonstrated track record of acting as a subject matter expert (SME) to clients, client leadership, and other stakeholder teams in developing comprehensive, high-visibility social impact strategies while thoughtfully mitigating risk.

About the job

As an Associate Commercial and Product Counsel, you will serve as a critical legal partner for Google.org’s global social impact initiatives. You will lead complex commercial negotiations for social impact initiatives while simultaneously providing end-to-end product counseling for Google.org products, websites, and programs including Google for non-profits, pro bono offerings, and employee giving and volunteering programs.

In this dual role, you will counsel the team on compliance with internal revenue service (IRS) regulations, nonprofit law, data privacy, and intellectual property and open source matters to ensure our tech-for-good efforts are both innovative and globally compliant. From structuring strategic partnerships and collaborative funding frameworks to counseling product giving and employee social impact initiatives, you will directly enable Google.org to scale its global philanthropic mission.

Individual pay is determined by factors including job-related skills, experience, and relevant education or training.

US: $217000 - $314000 (USD) + 20% bonus target + equity + benefits

Responsibilities

  • Structure, draft, and manage high-risk social impact agreements (grants, sponsorships, collaborations) as well as day-to-day commercial contracts (SaaS, procurement).
  • Guide Google.org product and website launches by managing privacy reviews, IP/open-source counseling, and drafting terms of service and frequently asked questions (FAQs).
  • Navigate complex international and U.S. regulations, including IRS tax rules, global nonprofit laws, and data privacy frameworks (e.g., GDPR).
  • Partner with specialized legal teams (Employment, Trademark, Real Estate) and Counsel from other product areas (such as Google DeepMind and Google Research) to align cross-company initiatives.
  • Architect new legal structures for programmatic initiatives (like open calls and sub-funding), maintain due diligence standards, and review high-visibility public communications to mitigate brand risks.
